Cherry Chase Neighborhood Association
BYLAWS
ARTICLE I
TERMS AND DEFINITIONS
Section 1. Name. The name of this Association shall be Cherry Chase Neighborhood Association.
Section 2. Territory. Cherry Chase Neighborhood Association is located in the City of Sunnyvale, County of Santa Clara, State of California, and is bounded by the following streets: Bernardo Avenue on the west, Blair Avenue on the north, Mary Avenue on the east, and Remington on the south.
Section 3. Organized Blocks. Organized Blocks are areas within Cherry Chase Neighborhood Association territory that have a Block Representative.
ARTICLE II
PURPOSE
The purpose of this Association shall be to provide a venue for the expression of the desires of the people living within Cherry Chase Neighborhood Association or property owners within Cherry Chase Neighborhood Association shall serve as a base for communication within this community. Our association supports the following goals:
16221632. To promote community involvement and participation.
16221633. To establish and maintain an adequate line of communication between the City of Sunnyvale and the residents of the community.
16221634. To provide a community voice to city staff, school personnel, and the community at large concerning the implementation of services, community needs, and events.
ARTICLE III
MEMBERSHIP AND MEETINGS
Section 1. Eligibility. In order to be Eligible for Membership/Officer, a person must be at least 18 years of age, must subscribe to the goals and aims of the Association, and must either reside within, or own property within, the Cherry Chase Neighborhood Association territory.
Section 2. Membership. Membership and voting privileges shall be conferred upon any Eligible person who meets the eligibility requirements, is listed on our roster and is in attendance at scheduled meetings. To be considered for an Officer position (Board of Officers), a person should have been an Ambassador and an active member of one or more events.
Section 3. Voting. Each Member, up to a maximum of two per household, shall have the right to cast one vote.
Section 4. Regular Meetings. Cherry Chase Neighborhood Association shall meet Quarterly as a Board and twice per year as Ambassadors. Check the CCNA Website for a meeting schedule. Meetings are open to the public. A sign-in sheet will be provided at each meeting. Minutes shall be taken at each meeting and summarized and distributed electronically to all members of the association.
Section 5. Special Meetings. If extreme circumstances require action before the next regular meeting, Special Meetings may be called by the Chairperson, or by the Vice Chairperson and one other Officer.
Section 6. Voting Method. For regular agenda items, voting may be done through a show of hands or verbal assent. For election of officers, voting shall be by secret ballot. The votes shall be immediately counted by two Members, and the results recorded.
Section 7. Quorum. No vote of the Membership shall be valid unless at least five Members are present.
ARTICLE IV
OFFICERS
Section 1. Elected Officers. The positions of Chairperson , Vice Chairperson, Secretary, and Treasurer shall be filled by election at the Winter quarter of the second term. Only Cherry Chase Neighborhood Association Members may be candidates for election.
Section 2. Term of Office. The term of office shall be for two years.
Section 3. Vacancies. In the event that an office becomes vacant, the remaining Officers may designate a temporary substitute to serve the remainder of the term. At the next regular meeting, the Members shall vote to approve the designated substitute or select another.
Section 4. Compensation. Officers shall not receive any salaries for their services. Neither Officers, nor members of their immediate families, may be employed by the Association or receive compensation for
services provided to the Association.
Section 5. Duties of Chairperson. The Chairperson shall coordinate activities of the Association, approve and sign all outgoing Cherry Chase Neighborhood Association correspondence, and approve all newsletters, flyers, web postings, and external e-mail. The Chairperson shall prepare an agenda and lead meetings, and submit a bi-yearly correspondence report.
Section 6. Duties of Vice Chairperson. In the absence of the Chairperson, the Vice Chairperson shall act as Chairperson. The Vice Chairperson shall manage the email distribution group, and help arrange the
location of regular meetings.
Section 7. Duties of Secretary. The Secretary shall prepare all outgoing Cherry Chase Neighborhood Association correspondence and submit it to the Chairperson. The Secretary shall be responsible for taking roll and minutes at meetings. The Secretary shall maintain Cherry Chase Neighborhood Association correspondence files and member list. The Secretary, or a delegate, shall prepare, duplicate and distribute newsletters to the Block Representatives.
Section 8. Duties of Treasurer. The Treasurer shall maintain all Cherry Chase Neighborhood Association financial records, lead the annual budget process by assisting in the development of project budgets, maintain records of ongoing projects, lead efforts to define financial policies and procedures, and submit a monthly financial report. The Treasurer shall be a requisite signatory on the Cherry Chase Neighborhood Association checking account.
Section 9.The Board of Officers . The Board of Officers: The Board of Officers (the “Board”) shall consist of the Chairperson, Vice Chairperson, Secretary, Treasurer, 1st Past Chairperson and 2nd Past Chairperson.. The Board of Officers shall be empowered to meet independently of the membership to conduct the business of the association, plan meetings, invite speakers, set the association calendar, reserve meeting places, and otherwise conduct business that does not immediately involve the entire membership. The Board may prepare and propose items for the membership approval. The membership shall be required to approve Board actions at scheduled meetings.
ARTICLE V
COMMITTEES
Section 1. Scope. Committees are formed for the purpose of delegating work on specific projects. From time to time, Committees may be created as needs arise.
Section 2. Membership. Any eligible person may serve on a Committee.
Section 3. Committee Chairperson. Any Cherry Chase Neighborhood Association Member may be elected to serve as the Chairperson of a Committee. Elections may occur at any Regular or Special Meeting.
ARTICLE VI
COMMUNICATION BETWEEN MEMBERS AND OFFICERS
All communications between members and officers shall be by electronic means including email and the association website. Printed communication shall be provided by the block representatives, as required, for members who do not have access to electronic communication. A quarterly newsletter shall be published by the association’s newsletter editor. The association shall maintain a moderated Yahoo or Google Group, or equivalent, for the convenience of
the members. Be advised that Yahoo or Google groups are not secure, and shall be used at members’ own risk. No personal information shall be posted. Any member may post to the group. The moderator may remove offensive postings at his discretion.
The association shall establish and maintain a website for the convenience of the members. The website is not secure, and shall not be used for any personal information. It shall list the officers, the purpose of the association, the newsletter, and the scheduled meetings as a minimum.
ARTICLE VII
STREET AMBASSADORS
Section 1. Eligibility. Any eligible person may volunteer to be a Street Ambassador.
Section 2. Duties. All Street Ambassadors shall be responsible for delivering, in a timely fashion, the monthly newsletter and other notices to all residences within their respective areas, and shall bring any relevant issues to the attention of the Membership. Street Ambassadors shall help welcome new neighbors, promote Association-wide activities verbally and/or with flyers to all neighbors in their block.
ARTICLE VIII
DISSOLUTION OF ASSETS
The property of Cherry Chase Neighborhood Association is dedicated to education, preservation, maintenance, and enhancement of the community. No part of the Association income shall be used for the benefit of any Member of the Association or its Committees. Upon dissolution of this Association, any assets remaining after payment of debt and liabilities shall be distributed to the Community Foundation of Santa Clara County, or United Neighborhoods, or other funders.
